Online Store Terms

You must be legally capable of entering a binding agreement and may not use the site or products for unlawful purposes. You may not interfere with the site, attempt unauthorized access, introduce malicious code, scrape protected content, misuse accounts, or violate intellectual-property rights.

Product Information and Fitment

We work to present product descriptions, photographs, compatibility information, pricing, and availability accurately. Vehicle configurations and factory systems can vary. You are responsible for providing accurate vehicle year, model, trim, factory-audio, and other requested fitment information. Product use is also subject to the Installation, Fitment & Customer Responsibility Policy.

Orders and Acceptance

An order confirmation acknowledges receipt of your order but does not guarantee acceptance. We may refuse, limit, verify, or cancel an order because of suspected fraud, pricing or listing errors, product availability, compatibility concerns, payment issues, legal restrictions, or other reasonable business concerns. If we cancel a paid order, we will refund the canceled amount.

Prices, Payments, and Taxes

Prices may change without notice. Applicable shipping, taxes, duties, and fees are shown at checkout or provided in a quote when possible. You agree to provide current and accurate billing, payment, contact, and shipping information. Payment processing may be provided by Shopify, Shopify Payments, PayPal, or other third parties.

Processing, Shipping, Returns, and Warranty

Order processing and delivery are governed by the Shipping & Delivery Policy. Cancellations, returns, refunds, and the Satisfaction Guarantee are governed by the Refund, Return & Satisfaction Guarantee Policy. Product defects and replacement procedures are governed by the Limited Warranty Policy. Those policies are incorporated into these Terms.

Remote Support and Diagnostics

Some Orella products may support remote diagnostics, configuration, tuning, software, or firmware assistance. You are responsible for providing accurate information and safe, authorized access to the applicable equipment. Remote support cannot identify every installation or vehicle condition and does not replace appropriate in-person inspection when necessary.

Intellectual Property

The site and its content, including text, graphics, photographs, videos, logos, product names, designs, tuning materials, documentation, software, and other materials, are owned by or licensed to Virtuosite Group, Inc. and are protected by applicable intellectual-property laws. No license is granted except the limited right to use the site and purchased products for their intended purpose.

Third-Party Tools and Links

The site may use or link to third-party services. We do not control and are not responsible for third-party content, availability, security, terms, or practices. Your use of those services may be subject to separate agreements.

User Content and Feedback

When you submit reviews, photographs, feedback, or other content, you represent that you have the right to provide it and that it is not unlawful, misleading, infringing, or harmful. Unless otherwise agreed, you grant Orella a non-exclusive, worldwide, royalty-free license to use submitted feedback and customer content for support, operations, and marketing, subject to applicable privacy law.

Disclaimer of Warranties

Except for the express Limited Warranty Policy and rights that cannot be excluded, the site, content, and services are provided on an “as available” basis. We do not guarantee uninterrupted operation, error-free content, universal vehicle compatibility, or a particular subjective audio result.

Limitation of Liability

To the fullest extent permitted by law, Virtuosite Group, Inc., Orella Acoustics, and their owners, employees, contractors, suppliers, and affiliates will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of use, profits, data, vehicle value, or business opportunity. To the fullest extent permitted by law, total liability relating to a product, order, or service will not exceed the amount paid for the specific product, order, or service giving rise to the claim.

Nothing in these Terms limits liability or consumer rights that cannot legally be limited.

Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Virtuosite Group, Inc. and Orella Acoustics from claims, losses, or expenses arising from your unlawful use of the site, violation of these Terms, infringement of third-party rights, or unauthorized modification or misuse of products.

Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where another jurisdiction’s mandatory consumer law applies. Any dispute not subject to a different legally required forum will be brought in a court of competent jurisdiction serving Orange County, California.

Changes and Termination

We may update these Terms by posting a revised version with a new effective date. We may suspend or terminate site access for violations, security concerns, or unlawful activity. Provisions that should reasonably survive termination will remain in effect.

Severability and Entire Agreement

If any provision is found unenforceable, the remaining provisions remain effective. These Terms and the incorporated policies form the agreement between you and Orella regarding the site and direct purchases, except for any separate written agreement signed by an authorized representative.
